LSI PULSE DIAGNOSTIC SERVICE AGREEMENT

This LSI Pulse Diagnostic Service Agreement (the "Agreement") is entered into by and between LifeTree Stewardship Institute ("LSI," "we," "us," or "our") and the person or entity accessing, requesting, or participating in LSI’s complimentary diagnostic services ("Client," "you," or "Participant"). LSI is a management consulting and organizational strategy firm providing organizational forensics and executive governance consulting.

 

This Agreement governs two complimentary services: (a) the Mission Alignment Pulse (Pre-Flight Diagnostic) and (b) the Institutional Pulse Diagnostic (together, the "Pulse Diagnostics" or "Services").

1.1 Mission Alignment Pulse (Pre-Flight Diagnostic). The Mission Alignment Pulse is a short, introductory pre-flight diagnostic intended to help leaders quickly surface potential misalignment between stated mission/vision and operational reality. It is designed to identify early indicators of operational friction, decision bottlenecks, board-leadership misalignment, and leadership strain (including executive burnout risk).

1.2 Institutional Pulse Diagnostic. The Institutional Pulse Diagnostic is a higher-resolution introductory diagnostic intended to help leaders identify patterns related to governance structure, authority flow, stewardship practices, and institutional health. It is designed to highlight operational risks and structural misalignments that commonly intensify before critical decision windows such as the next budget cycle, academic cycle, or strategic planning season.

1.3 Deliverables. Depending on the pathway you select and the information you provide, deliverables may include:

  • A summary output, score, or classification reflecting the submitted responses;

  • A written or digital report of high-level observations and potential risk areas;

  • A brief recommendations list or next-step options; and/or

  • An optional follow-up discussion invitation.

1.4 Service Limitations. The Participant acknowledges and agrees that the Pulse Diagnostics:

  • Are introductory and directional only;

  • Do not constitute a full organizational audit, forensic investigation, compliance review, legal review, financial audit, HR investigation, or comprehensive governance review;

  • Are not a substitute for advice from legal counsel, accounting professionals, or other licensed professionals; and

  • May rely on incomplete information and do not guarantee that all issues, risks, or defects will be identified.

2.1 No Fee. The Pulse Diagnostics are provided as complimentary services. No fees are due to LSI for the initial diagnostic outputs generated under this Agreement.

2.2 No Obligation to Engage Further. Participation does not require you to purchase additional services from LSI.

2.3 Separate Agreement for Paid Services. If you request or LSI proposes services beyond the Pulse Diagnostics (including but not limited to organizational forensics, governance restructuring, board advisory, executive support, facilitation, or implementation support), those services will be governed by a separate written engagement letter or services agreement, including scope, fees, and terms.

3.1 Authority. You represent that you have the authority to provide the information submitted (including on behalf of an organization) and to permit LSI to use that information as described in this Agreement.

3.2 Accuracy and Completeness. You agree to provide information that is accurate to the best of your knowledge and not intentionally misleading. You acknowledge that LSI’s observations and outputs will be based on the information you submit and any limitations in that information may materially affect results.

3.3 Internal Approvals. You are responsible for obtaining any internal approvals (board, leadership, HR, IT, legal, or otherwise) necessary to share information with LSI and to participate in any optional follow-up discussion.

4.1 Information Collected. To provide the Services, LSI may collect organizational and contact information and other data you submit in connection with the Mission Alignment Pulse and/or the Institutional Pulse Diagnostic.

4.2 Permitted Uses. LSI shall use submitted information solely to:

  • Deliver the Pulse Diagnostics and generate related outputs;

  • Identify potential areas of structural misalignment, operational friction, governance strain, and related institutional risks;

  • Communicate results to you and, if applicable, schedule or offer a follow-up discussion; and

  • Provide you with relevant information regarding LSI services that may address the issues surfaced (you may opt out of non-essential communications).

4.3 No Sale of Participant-Specific Data. LSI will not sell your Participant-specific diagnostic responses as such to third parties.

4.4 De-Identified / Aggregated Insights. LSI may create aggregated or de-identified insights derived from multiple diagnostic submissions for internal research, benchmarking, and improvement of LSI’s frameworks, provided such insights do not identify you or your organization.

4.5 Electronic Delivery and Consent. You agree that LSI may deliver the Services, outputs, and communications electronically (including email, web delivery, and/or secure links). You are responsible for maintaining the confidentiality of any links, passcodes, or access credentials provided to you.

5.1 Confidential Information. "Confidential Information" means non-public information you provide to LSI in connection with the Services, including diagnostic responses and any organizational details you identify as confidential or that reasonably should be understood as confidential.

5.2 LSI Confidentiality Commitment. LSI will use reasonable care to protect Confidential Information and will not disclose it to third parties without your prior written consent except as permitted under Section 5.3.

5.3 Permitted Disclosures. LSI may disclose Confidential Information:

  • To LSI personnel or contractors who have a need to know and are bound by confidentiality obligations; and/or

  • As required by law, subpoena, court order, or other legal process.

5.4 No Confidentiality for Public/Independent Information. Confidential Information does not include information that (a) is publicly available through no fault of LSI, (b) was already lawfully known to LSI without confidentiality restriction, or (c) is independently developed by LSI without use of your Confidential Information.​

6.1 LSI Materials. All frameworks, questionnaires, prompts, scoring methods, diagnostic methodologies, report formats, and other materials provided or used by LSI (collectively, "LSI Materials") are the sole and exclusive property of LSI or its licensors.

6.2 Limited License to Participant. Subject to this Agreement, LSI grants you a limited, non-exclusive, non-transferable, revocable license to use the diagnostic output and report you receive solely for your internal organizational purposes.

6.3 Restrictions. You may not, and may not permit any third party to:

  • Copy, publish, distribute, display, or sell LSI Materials (except sharing the final output internally as needed);

  • Deconstruct, reverse engineer, scrape, or derive the underlying methodology, scoring, prompts, or framework logic from the Services or outputs; or

  • Use the Services or outputs to build a competing product or service.

6.4 Feedback. If you provide feedback about the Services, LSI may use that feedback without restriction and without obligation to you.

7.1 No Fiduciary Relationship Created. The Pulse Diagnostics do not create a fiduciary relationship, agency relationship, partnership, joint venture, employment relationship, or ongoing consulting engagement between you and LSI.

7.2 No Legal/Accounting/Investment Advice. LSI is not providing legal advice, accounting advice, tax advice, or investment advice through the Services. You should consult licensed professionals for advice in those areas.

7.3 Informational Purpose. The Pulse Diagnostics are provided for informational purposes to help leaders gain operational clarity and identify areas that may warrant deeper review before upcoming decision cycles (including budget or academic cycles).

8.1 Optional Follow-Up. LSI may offer an optional follow-up conversation to discuss diagnostic outputs at a high level. Any follow-up is subject to scheduling availability.

8.2 No Guarantee of Continuity. LSI does not guarantee continued availability of the Pulse Diagnostics, any follow-up meeting, or future complimentary services.

9.1 As-Is. The Services and outputs are provided "as-is" and "as available."

9.2 No Guarantee. LSI makes no warranties, express or implied, and does not guarantee that the Pulse Diagnostics will identify all issues or produce any particular outcome, change, or result.

9.3 Third-Party Systems. If any part of the Services is delivered through third-party systems (e.g., scheduling, forms, email delivery), LSI is not responsible for outages or failures of those third-party systems.

10.1 Limitation. To the maximum extent permitted by law, in no event shall LSI be liable for any indirect, consequential, incidental, special, punitive, or exemplary damages arising out of or related to the Services, outputs, or this Agreement, even if advised of the possibility of such damages.

10.2 Cap. LSI’s total cumulative liability under this Agreement shall not exceed the amount paid by the Participant for the Services, which is $0.00.

10.3 Allocation of Risk. You acknowledge that this limitation of liability is a material part of this Agreement and that the Services are provided on a complimentary basis in reliance on these limitations.

11.1 Term. This Agreement begins when you access or submit information through the Pulse Diagnostics (or otherwise indicate acceptance) and continues until completion of the Services, unless terminated earlier under this Section.

11.2 Termination. Either party may terminate participation at any time. Upon termination, LSI may stop providing the Services and may refrain from generating or delivering further outputs.

11.3 Survival. Sections relating to confidentiality, intellectual property, disclaimers, limitation of liability, governing law, and other provisions that by their nature should survive, shall survive termination or completion.

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which LifeTree Stewardship Institute is headquartered, without regard to conflict of law principles. Any permitted legal action relating to this Agreement shall be brought in a court of competent jurisdiction in that location, unless otherwise required by law.

13.1 Entire Agreement. This Agreement constitutes the entire agreement between the parties regarding the Pulse Diagnostics and supersedes any prior or contemporaneous communications relating to the subject matter.

13.2 Changes. LSI may update this Agreement from time to time by posting an updated version on its website or otherwise making it available in connection with the Services. The updated version will apply to new Participants and new submissions after the effective date of the update.

13.3 Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

By accessing, requesting, or engaging with the Mission Alignment Pulse (Pre-Flight Diagnostic) and/or the Institutional Pulse Diagnostic on the LSI website (www.lifetreestewardshipinstitute.com) or via direct LSI outreach, you agree to be bound by the terms of this Agreement. By engaging with the LSI Pulse Diagnostic on the website or via direct LSI outreach, the Participant agrees to be bound by the terms of this Agreement.
